Please be advised that pursuant to the Companies and Other Business Entities Act [Chapter 24:31], the company re-registration exercise has commenced. This is a significant initiative aimed at updating the company register from a manual paper-based system to an electronic filing system and ensuring compliance with regulatory requirements.
Failure to re-register electronically within the prescribed time frame will result in automatic deregistration and removal from the register which means the company will no longer be able to carry on business as usual. The deadline to re-register is yet to be gazetted.
Should you intend to re-register your company, you have the option to adapt your existing Memorandum and Articles of Association to comply with the new legislation or to use the Model Memorandum and Articles as provided in the legislation.
